As we scale, we’re looking for a Corporate Counsel who can build out our legal function. You will guide our business teams through the legal landscape of commercial deals, helping them navigate contracts, AI data best practices, compliance and risk while unlocking the full potential of our growth.
The Opportunity
Functionize recently announced our Series B funding, and we’re entering an exciting phase of growth. This is a unique opportunity to join a scaling startup at a pivotal moment, work closely with executive leadership, report directly to the VP of Finance and help shape the foundation of our in-house legal function.
As our Corporate Counsel, you’ll provide strategic legal guidance across the company, ensuring we operate within legal and regulatory frameworks while enabling and expediting business growth. You’ll own and negotiate high-value enterprise contracts, refine our data and privacy policies, streamline contracting processes, advise cross-functional teams on compliance and risk and help establish scalable legal practices—positioning yourself to expand into broader leadership responsibilities over time, including corporate governance, employment law and intellectual property strategy.
What You’ll Do
Contract Management & Negotiation:
- Draft, review and negotiate a wide range of contracts, including enterprise customer agreements, vendor contracts and employment agreements.
- Refine standard contracts and playbooks, including AI data rights and privacy policies, in a clear and concise manner that helps the sales team build customer confidence and streamlines the contracting process.
Legal Advice & Strategic Partnership:
- Provide practical, business-focused legal guidance to cross-functional teams (Sales, Customer Success, Finance, Product, Operations).
- Advise leadership on legal risk management, compliance and regulatory matters.
- Partner with external counsel on specialized matters (employment, IP/patent, regulatory compliance, corporate filings and cap table management).
Risk & Compliance Oversight:
- Monitor and manage corporate compliance obligations.
- Identify potential legal risks and propose proactive solutions.
- Support company initiatives while balancing legal, business and operational priorities.
Future Growth Responsibilities:
- Assist in developing the company’s corporate governance, IP and employment law capabilities as we scale.
- Position yourself to grow into a broader leadership role, contributing to the evolution of the legal function.
What Makes You a Fit
- J.D. from an accredited law school and admitted to practice in at least one U.S. jurisdiction.
- 10+ years of legal experience, including 5+ years focused on commercial law, enterprise customer agreements, or transactional work, ideally including startup and SaaS experience. AI experience is a plus.
- Self-starter that thrives in a fast-paced startup environment.
- Proven track record handling complex deals with large, high-profile clients, including vendor, customer, and partnership agreements.
- Strategic business partner with strong commercial acumen and technical comprehension, able to provide practical and simplified legal guidance that drives business outcomes and enables risk tradeoff decision-making.
- Exceptional negotiation, drafting, and communication skills, with experience advising on compliance and regulatory matters across multiple business functions.
- Ambitious and growth-oriented, ready to expand into broader legal leadership responsibilities, including corporate governance, employment law, and intellectual property strategy.
